These Terms & Conditions ("Terms") govern your access to and use of the JotBot LLC website located at tryjot.io(the "Site"), our phone and SMS services, and any services provided by JotBot LLC ("we", "us", or "our"). By accessing our Site, calling or texting our number, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

  • "Services" means the AI automation, integration, consulting, phone, and SMS services we provide.
  • "You" means the individual or entity accessing or using our Services.
  • "Content" means text, graphics, images, code, and other material on our Site.
  • "Project Agreement" means a separate written agreement governing a specific project, including proposals, statements of work, and service orders.

2. Use of Our Services

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Services.

2.2 Acceptable use

You agree not to:

  • Use our Services for any illegal purpose or in violation of any applicable law.
  • Harass, threaten, abuse, or defame anyone through our phone, SMS, or other communication channels.
  • Attempt to gain unauthorized access to our systems, data, or accounts.
  • Interfere with or disrupt our Services, including our IVR, AI assistant, or phone systems.
  • Reproduce, copy, or distribute our Content without written permission.
  • Use automated systems (bots, scrapers) to access our Site without our consent.
  • Transmit viruses, malware, or other malicious code through our communication channels.

2.3 Phone and SMS communications

When you call or text our number (+1 (830) 443-6633):

  • Recording: calls may be recorded and transcribed for quality, accuracy, project documentation, and follow-up. You may request that recording be stopped during a call.
  • SMS messaging: we may send you text messages about your project, callbacks, and support. You can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT. To opt back in, reply START, YES, or SUBSCRIBE. For help, reply HELP or INFO.
  • AI intake: if you select the new project option in our IVR, your conversation will be processed by an AI assistant that collects project details. This information is stored in our CRM.
  • Carrier charges: standard message and data rates from your carrier may apply to SMS communications.
  • Privacy: our recording and data practices are described in our Privacy Policy.

3. Our Services

We provide the following Services:

  • AI automation: custom AI systems, integrations, and workflows built for your business.
  • Consulting: guidance on AI strategy, tool selection, and implementation.
  • Phone and SMS support: a phone number you can call or text to reach us, with IVR routing, AI intake, voicemail, and callback scheduling.

Specific terms for any project (scope, deliverables, pricing, timeline, payment terms) are defined in a Project Agreement. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement prevails.

4. Intellectual Property

4.1 Our Site and Content

All Content on our Site, including text, graphics, logos, design, and code, is owned by JotBot LLC or used with permission and is protected by United States and international intellectual property laws. You may share links to our Content but may not reproduce, modify, distribute, or create derivative works without our prior written consent.

4.2 Custom work

Custom work we build for you is governed by the terms of your Project Agreement. Unless otherwise agreed in writing, we retain ownership of our proprietary tools, templates, methodologies, and pre-existing intellectual property used to deliver your project. We grant you a license to use the custom deliverables as specified in your Project Agreement.

4.3 Your content

You retain ownership of any information, materials, or content you provide to us during calls, emails, or project engagements. You grant us a license to use your content solely for the purpose of providing Services to you.

5. Service Availability

We strive to maintain the availability of our Site and phone services but do not guarantee 100% uptime. Services may be unavailable due to maintenance, carrier outages, third-party provider failures, or events beyond our control. Our phone number is available for live support during business hours; outside those hours, calls are routed to voicemail or our AI intake assistant.

6. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • AI-generated outputs, transcriptions, summaries, or recommendations will be accurate, error-free, or suitable for your specific situation.
  • Our Services will be uninterrupted, secure, or available at all times.
  • Any errors or defects will be corrected.

You are responsible for reviewing and validating all AI-generated content before acting on it. We are not liable for any decisions you make based on AI-generated outputs.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall JotBot LLC, its owners, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with your use of our Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or our Services shall not exceed the greater of (a) the amount you paid us for the specific Service giving rise to the claim, or (b) one hundred U.S. dollars ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless JotBot LLC and its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) any content or information you provide to us.

9. Confidentiality

We treat information you share with us as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law. Similarly, we expect you to maintain the confidentiality of any proprietary information we share with you during a project engagement.

10. Payment Terms

Payment terms for specific projects are governed by your Project Agreement. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may accrue interest at 1.5% per month. We reserve the right to suspend Services for non-payment.

11. Termination

We may suspend or terminate your access to our Services at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, all provisions that by their nature should survive termination shall remain in effect, including the disclaimers, limitation of liability, and indemnification sections.

You may stop using our Services at any time. To opt out of SMS messaging, reply STOP to any message. To request deletion of your data, email customers@tryjot.io.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved through good-faith negotiation first. If unresolved, the dispute shall be submitted to binding arbitration in San Antonio, Texas, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, telecommunications or carrier outages, or government actions.

14. Changes to These Terms

We may modify these Terms at any time. We will post the updated version on this page and update the "Last updated" date at the top. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any Project Agreement and our Privacy Policy, constitute the entire agreement between you and JotBot LLC regarding the use of our Services and supersede any prior agreements.
